Terms for advertising Free Services

 

This agreement (the "Agreement") is made and entered into by and between [ToningDrum] ("Company") and the ("Advertiser"), collectively referred to as the "Parties".

Advertising

1. The Advertiser may advertise their services on the Company's website free of charge. The Advertiser agrees to provide accurate and truthful information about their services, including their qualifications, experience, and pricing.

Liability

1. The Company does not endorse or guarantee the services provided by the Advertiser. The Company makes no representations or warranties regarding the quality, safety, or legality of the Advertiser's services. The Advertiser agrees to indemnify and hold the Company harmless from any claims, damages, or expenses arising from the Advertiser's services or their advertisement on the Company's website.

Content

1. The Advertiser represents and warrants that all content provided for their advertisement, including text, images, and videos, is their original work and does not infringe upon the intellectual property rights of any third party. The Advertiser grants the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display their content for the purpose of advertising the Advertiser's services on the Company's website.

Termination

1. Either party may terminate this Agreement upon written notice to the other party. Upon termination of this Agreement, any advertisement of the Advertiser's services on the Company's website will be removed.

Governing Law

1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is located.

Entire Agreement

1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the Parties.

Amendments

1. This Agreement may only be amended in writing and signed by both Parties.

Assignment

1. The Advertiser may not assign this Agreement without the prior written consent of the Company.

Counterparts

1. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

Acknowledgment

1. By submitting an advertisement to the Company's website, the Advertiser acknowledges that they have read and understand the terms of this Agreement and agree to be bound by its provisions. The Advertiser further represents and warrants that all information provided in their advertisement is accurate and truthful to the best of their knowledge.
