本协议（“协议”）由[ToningDrum]（“公司”）和（“广告商”）（统称为“双方”）之间制定并签订。

广告

  1. 广告商可以在公司网站上免费宣传其服务。广告商同意提供有关其服务的准确、真实的信息，包括其资格、经验和定价。

责任

  1. 本公司不认可或保证广告商提供的服务。公司对广告商服务的质量、安全性或合法性不做任何陈述或保证。广告商同意赔偿因广告商的服务或其在公司网站上的广告而引起的任何索赔、损害或费用，并使公司免受损害。

内容

  1. 广告商声明并保证为其广告提供的所有内容，包括文字、图像和视频，均为其原创作品，不侵犯任何第三方的知识产权。广告商授予公司非排他性、全球性、免版税的许可，以使用、复制、修改和展示其内容，以便在公司网站上宣传广告商的服务。

终止

  1. 任何一方均可在书面通知另一方后终止本协议。本协议终止后，公司网站上广告商服务的任何广告都将被删除。

适用法律

  1. 本协议应受公司所在司法管辖区的法律管辖并按其解释。

整个协议

  1. 本协议构成双方之间关于本协议主题的完整协议，并取代双方之前的所有谈判、谅解和协议。

修正案

  1. 本协议只能以书面形式修改并由双方签署。

任务

  1. 未经公司事先书面同意，广告商不得转让本协议。

同行

  1. 本协议可以以副本形式签署，每份副本均应被视为原件，但所有副本共同构成一份相同的文书。

致谢

  1. 通过向公司网站提交广告，广告商承认他们已阅读并理解本协议的条款并同意受其条款的约束。广告商进一步声明并保证其广告中提供的所有信息均据其所知准确且真实。
